Terms of Service
These Terms of Service govern your access to and use of the MyQTAG platform. Please read them carefully before creating an account or using any part of the service. By accessing or using MyQTAG, you agree to be bound by these Terms.
1. Definitions
The following defined terms are used throughout these Terms of Service:
- “Agreement” means these Terms of Service, together with any Order Form, Data Processing Agreement, and any other documents expressly incorporated by reference.
- “Platform” means the MyQTAG web application, mobile application, APIs, and all related services made available by MyQTAG.
- “Subscriber” means the organisation or individual that has entered into an Agreement with MyQTAG and holds the primary account.
- “User” means any individual authorised by a Subscriber to access and use the Platform under the Subscriber’s account, including administrators and team members.
- “Data” means all information, content, and materials submitted to or generated within the Platform by a Subscriber or its Users.
- “Subscription” means the paid or trial access plan selected by the Subscriber.
- “Documentation” means any user guides, help articles, and technical documentation made available by MyQTAG.
- “MyQTAG” means the company operating the Platform, incorporated in England and Wales.
2. Acceptance of Terms
By registering for an account, accessing the Platform, or authorising Users to access the Platform, the Subscriber confirms that:
- they have read and understood these Terms;
- they have the legal authority to bind themselves or their organisation to this Agreement;
- they are at least 18 years of age.
If you do not agree to these Terms, you must not use the Platform. MyQTAG reserves the right to update these Terms at any time. Continued use of the Platform following notice of any change constitutes acceptance of the revised Terms.
3. Account Registration & Responsibilities
3.1 Account Creation
Subscribers must provide accurate, complete, and current information when registering. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
3.2 User Management
Subscribers are responsible for:
- managing access for all Users under their account;
- ensuring Users are made aware of and comply with these Terms;
- promptly revoking access for Users who leave the organisation or no longer require access.
3.3 Account Security
You must notify MyQTAG immediately at support@myqtag.co.uk if you suspect any unauthorised use of your account or any security breach. MyQTAG will not be liable for any loss arising from unauthorised access resulting from your failure to safeguard your credentials.
4. Description of Services
MyQTAG is a SaaS platform for digital form management, data collection, and inspection workflow management. The Platform enables Subscribers to:
- build and deploy digital forms and checklists;
- collect structured submissions from field teams;
- review, approve, and manage inspection data;
- organise Users into Teams with role-based access;
- integrate with supported third-party tools where available.
The specific features available to a Subscriber depend on their Subscription plan. MyQTAG may update, modify, or discontinue features at any time, with reasonable notice provided where changes are material.
5. Subscription Plans & Pricing
5.1 Plans
MyQTAG offers tiered Subscription plans as detailed on the pricing page at myqtag.co.uk or in an Order Form. Features, user limits, and storage vary by plan.
5.2 Free Trials
MyQTAG may offer a free trial period. At the end of the trial period, access will either cease or automatically convert to a paid Subscription depending on whether payment details have been provided. MyQTAG reserves the right to modify or withdraw free trial offerings at any time.
5.3 Modifications to Plans
MyQTAG reserves the right to change pricing and plan features with a minimum of 30 days’ notice. Where a Subscriber is on an active paid plan, pricing changes will not take effect until the next renewal period following the notice.
6. Payment & Billing
6.1 Billing Cycles
Subscriptions are billed on a monthly or annual basis as selected at the time of purchase. Invoices are issued in advance of each billing period.
6.2 Payment
Payment is due on the invoice date. MyQTAG accepts payment via the methods listed at checkout. All fees are quoted in GBP unless otherwise stated and are exclusive of VAT. VAT will be applied at the applicable rate.
6.3 Late Payment
If payment is not received within 14 days of the invoice due date, MyQTAG reserves the right to suspend access to the Platform until outstanding amounts are settled. MyQTAG may charge interest on overdue amounts at the statutory rate.
6.4 Cancellation & Refunds
Subscribers may cancel their Subscription at any time. Cancellation takes effect at the end of the current billing period; no refunds are issued for partial periods. Annual Subscriptions cancelled within 14 days of the initial purchase date may be eligible for a full refund at MyQTAG’s discretion.
7. Data Ownership & Processing
7.1 Subscriber Data Ownership
All Data submitted to the Platform by a Subscriber or its Users remains the property of the Subscriber. MyQTAG does not claim any ownership rights over Subscriber Data.
7.2 Licence to Process
By using the Platform, the Subscriber grants MyQTAG a limited, non-exclusive licence to access, store, and process Subscriber Data solely for the purpose of providing and operating the Platform, supporting the Subscriber, and as otherwise described in these Terms or the Data Processing Agreement.
7.3 No Commercialisation of Data
MyQTAG will not use Subscriber Data for any commercial purpose, including the development or training of any AI or machine learning models, without the express written consent of the Subscriber.
7.4 Data Processing Agreement
Where MyQTAG processes personal data on behalf of a Subscriber as a data processor under UK GDPR, the parties agree to the terms of the MyQTAG Data Processing Agreement (DPA), which is incorporated into this Agreement by reference and available at myqtag.co.uk/dpa.
7.5 Data Retention & Deletion
MyQTAG will retain Subscriber Data for the duration of the Subscription. Following termination or cancellation, MyQTAG will retain Data for a period of 90 days, during which the Subscriber may export their Data. After this period, Data will be permanently deleted from MyQTAG’s systems unless retention is required by law.
8. Privacy & Security
8.1 Privacy Policy
MyQTAG’s collection and use of personal data relating to Users and Subscribers is governed by the MyQTAG Privacy Policy, available at myqtag.co.uk/privacy. The Privacy Policy is incorporated into this Agreement by reference.
8.2 Security Measures
MyQTAG implements and maintains appropriate technical and organisational security measures designed to protect Subscriber Data against unauthorised access, loss, or destruction. Details of current security practices are available in the MyQTAG Security Overview at myqtag.co.uk/security.
8.3 Data Breach Notification
In the event of a personal data breach affecting Subscriber Data, MyQTAG will notify the affected Subscriber without undue delay and in accordance with applicable data protection law.
9. Intellectual Property
9.1 MyQTAG Platform IP
All intellectual property rights in the Platform, including software, design, trademarks, and Documentation, are and remain the exclusive property of MyQTAG or its licensors. These Terms do not transfer any ownership rights to the Subscriber.
9.2 Subscriber IP
All intellectual property rights in Subscriber Data and any materials submitted to the Platform remain with the Subscriber or its licensors.
9.3 Feedback
If a Subscriber or User provides feedback, suggestions, or ideas regarding the Platform, MyQTAG may freely use such feedback without obligation or compensation to the Subscriber. No feedback shall be treated as confidential.
10. Acceptable Use
Subscribers and Users must not use the Platform to:
- upload, transmit, or distribute any unlawful, harmful, defamatory, or fraudulent content;
- infringe the intellectual property rights of any third party;
- introduce viruses, malware, or any other malicious code;
- attempt to gain unauthorised access to any part of the Platform or to any third-party systems;
- use the Platform in any way that could impair its performance or integrity;
- scrape, copy, or reverse-engineer any part of the Platform;
- resell or sub-licence access to the Platform without MyQTAG’s prior written consent;
- use the Platform in violation of any applicable law or regulation.
MyQTAG reserves the right to suspend or terminate access immediately where it believes a Subscriber or User is in breach of this section.
11. Service Availability
MyQTAG aims to provide a reliable and highly available Platform. However, MyQTAG does not guarantee uninterrupted access. The Platform may be temporarily unavailable due to:
- scheduled maintenance (advance notice will be provided where practicable);
- unplanned outages or emergency maintenance;
- circumstances beyond MyQTAG’s reasonable control.
Where MyQTAG publishes a Service Level Agreement (SLA) for a Subscription tier, the terms of that SLA govern availability commitments and any associated remedies. MyQTAG’s current SLA terms are available at myqtag.co.uk/sla.
12. Third-Party Integrations
The Platform may integrate with or connect to third-party services and tools. MyQTAG is not responsible for the availability, accuracy, or security of third-party services. Any use of third-party integrations is subject to the terms and privacy policies of those third parties.
Where Subscriber Data flows through a third-party integration, the Subscriber is responsible for ensuring that such processing complies with applicable data protection law and any relevant consents.
13. Limitation of Liability
13.1 Disclaimer
The Platform is provided “as is” and “as available”. To the fullest extent permitted by law, MyQTAG disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
13.2 Cap on Liability
To the fullest extent permitted by law, MyQTAG’s total aggregate liability to a Subscriber for any claims arising under or in connection with this Agreement shall not exceed the total fees paid by that Subscriber in the 12 months immediately preceding the claim.
13.3 Excluded Loss
MyQTAG shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, or loss of business, even if MyQTAG has been advised of the possibility of such damages.
13.4 Exceptions
Nothing in this Agreement shall limit either party’s liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
14. Indemnification
The Subscriber agrees to indemnify, defend, and hold harmless MyQTAG and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- the Subscriber’s or its Users’ use of the Platform in breach of these Terms;
- any Data submitted to the Platform by the Subscriber or its Users;
- any violation of applicable law by the Subscriber or its Users.
15. Term & Termination
15.1 Term
This Agreement commences on the date the Subscriber creates an account or executes an Order Form and continues until terminated in accordance with these Terms.
15.2 Termination by Subscriber
The Subscriber may terminate this Agreement at any time by cancelling their Subscription and ceasing use of the Platform. Cancellation is effective at the end of the current billing period.
15.3 Termination by MyQTAG
MyQTAG may terminate or suspend a Subscriber’s access immediately if:
- the Subscriber materially breaches these Terms and fails to remedy the breach within 14 days of written notice;
- the Subscriber fails to pay fees when due and payment is not received within 14 days of a reminder;
- the Subscriber becomes insolvent, enters administration, or is wound up.
15.4 Effect of Termination
On termination, the Subscriber’s right to access the Platform ceases immediately. MyQTAG will retain Subscriber Data for 90 days following termination, during which the Subscriber may export it. Clauses that by their nature should survive termination — including data ownership, intellectual property, limitation of liability, and governing law — shall continue to apply.
16. Confidentiality
Each party agrees to keep the other party’s confidential information (including the terms of this Agreement, pricing, and technical information about the Platform) confidential and not to disclose it to any third party without prior written consent, except where required by law or regulation.
17. Governing Law & Disputes
This Agreement and any disputes arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.
Where a dispute arises, the parties agree to attempt to resolve it informally in good faith within 30 days before commencing any formal legal proceedings.
18. General
18.1 Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements, representations, and understandings.
18.2 Amendments
MyQTAG may update these Terms at any time. Subscribers will be notified by email or via an in-platform notice at least 14 days before changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
18.3 Severability
If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
18.4 Waiver
Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.
18.5 Assignment
The Subscriber may not assign or transfer this Agreement without the prior written consent of MyQTAG. MyQTAG may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets, with notice to the Subscriber.
18.6 Force Majeure
Neither party shall be liable for any failure or delay in performance resulting from causes beyond their reasonable control, including acts of God, natural disasters, government actions, pandemics, or widespread internet outages.
18.7 Notices
Notices under this Agreement must be in writing. MyQTAG will send notices to the email address associated with the Subscriber’s account. Notices to MyQTAG should be sent to: legal@myqtag.co.uk or by post to the registered address of MyQTAG.
